FinCEN Permanently Rolls Back CTA Requirements for U.S. Businesses

Businesses that were preparing to comply with the Corporate Transparency Act (CTA) received welcome news this summer. On August 11, 2026, the Financial Crimes Enforcement Network (FinCEN) issued a final rule permanently eliminating Beneficial Ownership Information (BOI) reporting requirements for U.S. companies and U.S. persons. FinCEN also announced that it will delete previously reported BOI information associated with U.S. persons.

However, the CTA itself has not been repealed. Certain foreign entities registered to do business in the United States may still be subject to BOI reporting requirements, particularly with respect to non-U.S. beneficial owners.


What This Means for Businesses

  • Most U.S. corporations, LLCs, and other domestic entities no longer have any BOI reporting obligation.

  • Previously filed BOI information relating to U.S. persons will be removed from FinCEN's database.

  • Foreign entities registered to do business in the U.S. should still review their reporting requirements.
